PHILADELPHIA, May 16, 2017 – The Goldman Scarlato & Penny PC law firm is investigating potential claims on behalf of investors in securities offerings orchestrated by the The Falls Event Center, LLC, its principal, Steven Down, and/or entities affiliated with them, in the wake of the Securities and Exchange Commission allegations of investment fraud against the two.The Falls Event Center and Down have been charged by the SEC with fraudulently raising about $120 million from over 300 investors across the country, through material misrepresentations and omissions. The SEC has alleged that The Falls Event Center and Down misrepresented to investors, during investor presentations, the profitability of their event centers and failed to disclose that event centers were not profitable.
The Falls Event Center and Down consented to the entry of judgment against them, without admitting or denying the SEC’s charges. However, subsequently Down reportedly rescinded his consent.
